5. Enquiries & Quotations

Information displayed on the AIERO9 website is provided for general information and does not automatically constitute a binding offer.

Where we provide a quotation or proposal, it will normally describe the expected scope, fees, deliverables and any important assumptions.

Unless otherwise stated in writing, quotations may be subject to change if the requirements, scope or assumptions change.

6. Contracts & Acceptance

A Project or ongoing service may begin when the Client accepts the applicable proposal or quotation and satisfies any stated conditions, such as payment of a required deposit.

The specific commercial terms agreed for the Project will take precedence where they expressly differ from these general Terms & Conditions.

No work outside the agreed scope should be assumed to be included unless it has been confirmed by AIERO9 in writing.

7. Project Scope

Each Project will be delivered according to the agreed scope.

Unless specifically included, the following may be treated as additional work:

  • Additional pages or templates
  • Additional products or catalogue entries
  • New features or custom functionality
  • Additional revisions beyond the agreed amount
  • New integrations
  • Major changes to approved designs
  • Additional content creation
  • Additional marketing campaigns or platforms
  • Third-party licences, subscriptions or paid tools

8. Client Responsibilities

The Client agrees to provide information, content, approvals, access credentials and decisions reasonably required to deliver the Services.

The Client is responsible for ensuring that information and materials supplied to AIERO9 are accurate, lawful and suitable for use.

Project timelines may be affected where required information, access, feedback or approvals are delayed.

9. Content & Materials

Where the Client supplies text, images, logos, videos, product information, documents or other materials, the Client confirms that it has the necessary rights or permissions to use those materials.

AIERO9 may rely on Client-supplied information when producing Deliverables.

Where content creation is included in the Services, the agreed scope and number of revisions will apply.

10. Third-Party Services

Some Projects may depend on third-party platforms or services, including hosting providers, domain registrars, payment providers, advertising platforms, plugins, themes, APIs, analytics services, email systems or other software.

Third-party services are subject to their own terms, pricing, availability and technical limitations.

AIERO9 is not responsible for outages, policy changes, pricing changes, account restrictions or failures caused by third-party providers.

11. Hosting & Domains

Where hosting or domain services are included, the relevant quotation will identify the scope and applicable fees.

Where the Client uses its own hosting or domain provider, the Client remains responsible for maintaining the relevant account, renewals and billing unless otherwise agreed.

AIERO9 cannot guarantee uninterrupted availability of third-party hosting or domain services.

12. Fees & Payments

Fees and payment schedules will be stated in the relevant quotation, proposal or Agreement.

Depending on the Project, payment may be structured as a deposit, milestone payments, staged payments or recurring monthly fees.

Unless otherwise agreed:

  • Payments are due by the date stated on the applicable invoice.
  • AIERO9 may pause work where agreed payments are overdue.
  • Additional work may require separate approval and payment.
  • Third-party fees may be payable separately.

Any applicable taxes, duties or VAT treatment will be handled in accordance with the applicable quotation and law.

13. Changes & Additional Work

Reasonable changes within the agreed scope may be included where stated in the Project agreement.

Requests that materially change the agreed scope may be quoted separately.

Additional work will normally be confirmed before it is undertaken.

14. Delivery & Approval

AIERO9 will use reasonable efforts to deliver Projects within the agreed or estimated timeframe.

Timescales may depend on Client feedback, content, access, approvals, third-party systems and technical requirements.

The Client should review Deliverables within a reasonable period and communicate any agreed revisions or issues.

Once a Deliverable has been approved or put into active use, later changes may be treated as additional work where they fall outside the agreed scope.

15. Support & Maintenance

Support and maintenance are provided only where included in the relevant package or Agreement.

Maintenance may include website updates, security checks, backups, performance checks, technical support or other agreed tasks.

Unless expressly included, ongoing maintenance does not automatically include unlimited development, new pages, redesigns or new functionality.

16. SEO & Marketing Services

SEO and digital marketing involve factors outside AIERO9’s direct control, including search-engine algorithms, competition, market demand, advertising-platform policies and customer behaviour.

AIERO9 will provide the activities agreed within the applicable scope, but we do not guarantee:

  • A specific Google or search-engine ranking position
  • A specific amount of website traffic
  • A specific number of leads or sales
  • A specific advertising return on investment
  • Approval or continued approval by third-party advertising platforms

Advertising spend is separate from AIERO9 management fees unless expressly stated otherwise.

17. Social Media Services

Where social media management is provided, the applicable package will specify platforms, content quantities, publishing frequency and other deliverables.

Unless specifically included, services such as professional photography, on-site filming, influencers, creator fees, paid advertising budgets and travel may be charged separately.

AIERO9 cannot guarantee follower growth, engagement levels, reach, enquiries or sales because social-media performance depends on many external factors.

18. Intellectual Property

Client Materials

The Client retains ownership of materials it owns and supplies to AIERO9, subject to any third-party rights.

AIERO9 Materials

AIERO9 retains ownership of its pre-existing tools, processes, systems, templates, frameworks, know-how, reusable code, concepts and other materials developed independently of the Client Project.

Project Deliverables

Where applicable, ownership or usage rights in final Deliverables will transfer or be licensed according to the agreed Project terms and payment status.

Third-party software, plugins, fonts, stock assets, themes, libraries and other licensed materials remain subject to their own licence conditions.

19. Confidentiality

Each party may receive confidential business, technical, financial or commercial information from the other party.

Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorised third parties except where disclosure is required by law or reasonably necessary to perform the Agreement.

Information that is already publicly available or independently developed without using confidential information will generally not be treated as confidential.

20. Data Protection

AIERO9 may process personal information in connection with enquiries, Projects, accounts and service delivery.

Our processing of personal information is described in our Privacy Policy.

Where a Project involves the processing of personal data on behalf of a Client, the parties may need to enter into additional data-processing terms depending on the nature of the processing.

21. Warranties

AIERO9 will use reasonable care and skill in providing the Services.

Unless expressly stated in writing, Services and Deliverables are not provided with a guarantee of a particular commercial outcome.

The Client is responsible for ensuring that its business decisions, claims, pricing, products, services and supplied content are appropriate and lawful.

22. Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited.

Subject to applicable law, AIERO9 will not be responsible for indirect or consequential losses, loss of anticipated profits, loss of business opportunity, loss of goodwill or losses caused primarily by third-party services or information supplied by the Client.

Any specific liability cap should be confirmed in the applicable Project Agreement or quotation where appropriate.

23. Indemnity

Where legally permitted, the Client agrees to indemnify AIERO9 against reasonable losses, claims, liabilities or expenses arising from the Client’s unlawful use of the Services, infringement caused by Client-supplied materials, or breach of the Agreement.

This provision is subject to applicable law and does not remove any statutory rights or obligations that cannot lawfully be excluded.

24. Termination

Either party may have the right to terminate an Agreement where the other party materially breaches the Agreement and fails to remedy the breach within a reasonable period after receiving notice, where such a remedy period is legally applicable.

Ongoing monthly services may be terminated in accordance with the notice period stated in the applicable Agreement.

On termination, the Client remains responsible for approved work, completed Deliverables, committed third-party costs and other amounts properly due under the Agreement.

25. Suspension

AIERO9 may temporarily suspend Services where reasonably necessary because of overdue payments, security concerns, unlawful activity, third-party restrictions or circumstances that materially prevent delivery.

Where practical, AIERO9 will communicate the reason for suspension and the steps required to resume Services.

26. Force Majeure

AIERO9 will not be responsible for delay or failure caused by circumstances beyond its reasonable control.

Examples may include major internet or infrastructure failures, third-party platform outages, cyber incidents, natural disasters, government action, war, industrial disputes or other events that could not reasonably have been prevented.

27. Governing Law & Jurisdiction

These Terms & Conditions are intended to be governed by the laws of England and Wales, subject to any mandatory legal rights or requirements that apply to the relevant Client or transaction.

Subject to applicable law, the courts of England and Wales will have jurisdiction over disputes arising in connection with these Terms & Conditions.
